What this question trains
This question practices a core equity financing concept, how different classes of equity give investors different rights and different levels of protection. A strong interview answer should explain the tradeoff between common stock, which typically carries voting rights and residual ownership, and preferred stock, which is designed to provide more stable income and a senior claim to dividends relative to common equity. Candidates also need to understand where each security sits in the capital structure, especially the fact that preferred stock is ahead of common stock but still behind debt in a liquidation scenario.
Interviewers ask this because it tests whether you understand how companies raise capital and how investors are compensated for different levels of risk. It also checks your ability to think clearly about governance, dividend policy, and the order of claims in downside cases, all of which are fundamental in banking, valuation, and deal discussions.
