What this question trains

A dividend recapitalization is a classic private equity concept that tests whether you understand how sponsors extract cash from a portfolio company without fully selling it. Candidates need to know how additional debt can be raised after some leverage has been paid down, how those borrowing proceeds can be used to fund a dividend to the sponsor, and how this fits into the capital structure of an LBO-backed company.

Interviewers ask this because it checks both technical understanding and investor thinking. You should be able to explain why sponsors may prefer a recap as a way to partially realize value, reduce capital at risk, and improve fund-level returns through earlier cash distributions, while still keeping ownership in place. It also helps demonstrate that you understand the tradeoff between liquidity and leverage in private equity investing.
