What this question trains

This question practices how to think about contingent purchase price in merger modeling and how that accounting treatment affects the income statement, balance sheet, and cash flow statement. A candidate needs to understand that an earn-out is not treated like an immediate cash item in the transaction build, and instead must be tracked as a liability that can change over time based on whether performance targets are likely to be met. Interviewers ask this because it tests whether you can connect deal structure to accounting mechanics, and whether you understand how non-cash remeasurement, actual cash settlement, and acquisition accounting flow through a model.
